MedManage Terms of Service
These Terms of Use (“Terms” or “Agreement) are a binding legal agreement between you and Medidex, Inc., its subsidiaries, affiliates, divisions, agents, employees, contractors, third party service providers, directors, officers, licensors, and/or representatives (collectively “Medidex, “We,” “Us” or “Our”) and You (“Your”) as a “Visitor” and/or “User” of Medidex’s MedManage platform consisting of the MedManage mobile application (the “App”), MedManage website located at https://mymedicationlog.com (the “Website”), and MedManage web portal located at https://medidex.io (the “Web Portal”), owned and operated by Medidex (collectively, the “Platform” or “MedManage”), and any related services associated with it (all-inclusively, the “Services”).
By accessing or using the Platform and our Services or clicking to accept or agree to these Terms, you (1) agree to and accept these Terms and (2) consent to our Privacy Policy on the collection, use, disclosure and other handling of information, and (3) agree you will comply with all notices, disclaimers, policies, and rules when notified or posted on the Platform.
Our Services provide a digital, cloud-based medication management platform that helps you create medication lists and calendars, get dose reminders, and keep a log of medication intake. You can share your profile with caregivers or healthcare providers to assist you in managing your medications. Additionally, you can create additional profiles for family members, connect other MedManage accounts, and share data with providers for better coordination of care (hereinafter referred to as the “Service”).
IMPORTANT NOTICE: PLEASE READ THESE TERMS OF SERVICE CAREFULLY AS THEY CONTAIN PROVISIONS THAT GOVERN HOW YOU CAN BRING CLAIMS BETWEEN YOU AND MEDIDEX INC., INCLUDING THE ARBITRATION AGREEMENT IN SECTION 15 BELOW. THE ARBITRATION AGREEMENT REQUIRES YOU TO RESOLVE ALL DISPUTES WITH MEDIDEX INC. ON AN INDIVIDUAL BASIS AND, WITH LIMITED EXCEPTIONS, THROUGH FINAL AND BINDING ARBITRATION. THESE TERMS OF SERVICE OUTLINE HOW SUCH CLAIMS ARE RESOLVED, INCLUDING, WITHOUT LIMITATION, ANY CLAIMS THAT AROSE OR WERE ASSERTED BEFORE THE EFFECTIVE DATE OF THESE TERMS OF SERVICE. BY AGREEING TO THESE TERMS OF SERVICE, YOU EXPRESSLY ACKNOWLEDGE THAT YOU HAVE READ AND UNDERSTOOD ALL OF THEM AND HAVE TAKEN TIME TO CONSIDER THE CONSEQUENCES OF THIS IMPORTANT DECISION.
Please read these Terms carefully, as these, along with our Privacy Policy statement forms the entire agreement between you and Medidex, Inc. If you do not agree with any part of these Terms, please refrain from using our Services.
1. DEFINITIONS

- Account: An account created by a user to access and use the Services, including any associated profiles and settings.
- App: The MedManage mobile application, available on the Play Store and App Store, which provides digital medication management services.
- Caregiver: An individual who assists a user in managing their medication through the Services, including setting up profiles and tracking medication intake.
- Device Information: Data collected from the user’s device, including device type, operating system, and usage logs, to improve the performance and functionality of the Services.
- Healthcare Provider: A medical professional or facility with whom a user may share their profile information for assistance in managing medication.
- Medidex Inc. or Company: The company providing the Services, including the website (medidex.io) and the MedManage mobile app.
- PHI (Protected Health Information): Any medical history, medication records, or other health-related information collected from users or input by caregivers or providers that is protected under applicable privacy laws.
- Profile Information: Personal data provided by users, including name, email, medication schedules, and any additional profile information, used to create and manage user accounts.
- Services: The digital medication management services provided by Medidex Inc. through the website, mobile app, and any related services.
- Third-Party Vendors: External service providers who assist in delivering the Services, including hosting providers, email services, and payment processors.
- User: An individual who uses the Services, including those who create accounts, manage medication schedules, and share profile information with caregivers or healthcare providers.
- Vultr: The hosting service provider that stores user data in the cloud, located in New Jersey, US.
- Website: The Medidex marketing website (https://mymedicationlog.com/) and the web portal (https://medidex.io/) used to access the Services.
2. ACCEPTANCE OF THE TERMS OF SERVICE
By downloading or installing our App, or by accessing or using the App or our website, or by registering an account on our platform, or by engaging with our Services, or by clicking on a button or taking similar action to signify your affirmative acceptance of these Terms, you hereby represent that:

- You have read, understood, and agreed to be bound by these Terms and any future updates and additions to these Terms, as published from time to time at the website, Web Portal and App.
- You must be at least 18 years old to create an account and use our website, app, or services independently. If you are under 18 but at least 16 years old, you may use them only with the consent and involvement of a parent or guardian. By creating an account and using our website, app, or services, you represent and warrant that you have obtained consent from your parent or guardian if you are between 16 and 17 years old. Parents and guardians are responsible for monitoring their children’s use and ensuring compliance with these terms. Our website, app, and services are not intended for children under 16.
- You understand that MedManage is a medication management tool and is not a substitute for professional medical advice, diagnosis, or treatment. Always seek the advice of your healthcare provider with any questions you may have regarding a medical condition. If you are a minor, please consult with your parent or guardian and your healthcare provider before making any medical decisions based on information provided by MedManage.
- We must not have previously disabled your account for violation of law or any of our policies.
- You have read andunderstood our Privacy Policy.
3. ACCOUNT REGISTRATION

- Eligibility: To use our Services, you must be at least 16 years old and reside in the United States. By registering, you confirm that you meet these eligibility requirements. If you are under 18 years, you may use the Services only with the involvement of a parent or guardian.
- Registration Process: You can create an account on either our web portal (https://medidex.io/) or the MedManage mobile app. By creating an account, you agree to provide accurate and complete information and to keep this information up-to-date.
- Social Media Registration: You may register for an account using your email address, Facebook, or Google account. By registering through a social media account, you authorize us to access certain information from your social media profile, as permitted by the terms of the respective platform and your privacy settings. This functionality may be limited or restricted for accounts that contain PHI.
- Account Security: You are responsible for maintaining the confidentiality of your account login information and for all activities that occur under your account. If you suspect any unauthorized use of your account, you must notify us immediately at info@themedidex.com.
4. ALLOWED USES OF THE PLATFORM AND SERVICES

- Personal Medication Management: You may use our Services for personal medication management, including creating medication lists and calendars, receiving dose reminders, and keeping a log of medication intake.
- Family Member Profiles: You can create additional profiles for family members to manage their medication schedules and records.
- Caregiver and Healthcare Provider Access: You may share your profile information with caregivers or healthcare providers to assist you in managing your medication. This includes allowing them to set up your data, make edits, and track your medication intake.
- Non-Commercial Use: Our Services are intended for personal, non-commercial use only. You may not use the Services for any commercial purposes without our prior written consent.
- Compliance with Laws: You agree to use our Services in compliance with all applicable laws and regulations. Any use of the Services that violates any laws, infringes on the rights of others, or interferes with the normal functioning of the Services is strictly prohibited.
- Account Integrity: You are responsible for maintaining the integrity of your account information. You must not provide false information or impersonate another person when using the Services.
- Directions of Use: You must follow any and all guidelines or policies or directions of use as associated with each of the services on the platform.
- Personal Information: Whenever prompted, you must provide us with the correct, accurate, and updated information. These will be handled in accordance with the Privacy Policy statement posted on our website and App.
5. PROHIBITED USES

- Illegal Activities: You must not use the Services for any unlawful purpose or to promote any illegal activities. This includes, but is not limited to, the sale or distribution of illegal drugs, controlled substances, or prescription medication without a valid prescription.
- Unauthorized Access: You must not attempt to gain unauthorized access to any part of the Services, other user accounts, or any computer systems or networks connected to the Services. Hacking, password mining, or any other means of circumventing security measures are strictly prohibited.
- Distribution of Harmful Content: You must not upload, post, or otherwise distribute any content that contains viruses, malware, or any other harmful code that could damage or disrupt the Services or the devices of other users.
- Harassment and Abuse: You must not use the Services to harass, threaten, or abuse other users. Any behavior that is offensive, harmful, or intended to intimidate others is strictly prohibited.
- Infringing Content: You must not upload, post, or otherwise distribute any content that infringes on the intellectual property rights or privacy rights of others. This includes unauthorized distribution of copyrighted material, trademarks, or personal information.
- Commercial Exploitation: You must not use the Services for any commercial purposes without our prior written consent. This includes advertising, promotions, or any other form of solicitation that is not authorized by us.
- Impersonation and False Information: You must not impersonate any person or entity, or falsely state or otherwise misrepresent your affiliation with a person or entity. Providing false information or creating accounts for the purpose of misleading others is prohibited.
- Interference with Services: You must not interfere with or disrupt the operation of the Services or the servers and networks that support the Services. This includes, but is not limited to, spamming, flooding, or attempting to overload the system.
- Data Mining and Scraping: You must not use any automated means, including robots, crawlers, or data mining tools, to access, collect, or store information from the Services for any unauthorized purpose.
- Misuse of Personal Information: You must not use the personal information of other users for any purpose other than as expressly authorized by these Terms. This includes using contact information to send unsolicited messages or to engage in any form of harassment.
- Violation of Terms: You must not engage in any activity that violates these Terms or any other agreements you have with us. Failure to comply with these Terms may result in the suspension or termination of your access to the Services.
6. INTELLECTUAL PROPERTY

- Ownership: All content and materials available on the Services, including but not limited to text, graphics, logos, icons, images, audio clips, video clips, data compilations, and software, are the property of Medidex Inc. or its content suppliers and are protected by international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.
- Trademarks: The trademarks, service marks, logos, and trade names (collectively, the “Trademarks”) used and displayed on the Services are the registered and unregistered Trademarks of Medidex Inc. and other third parties. Nothing on the Services should be construed as granting, by implication, estoppel, or otherwise, any license or right to use any Trademark without our prior written permission specific for each such use.
- License to Use: We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your personal, non-commercial use only. This license does not include any resale or commercial use of the Services or their contents; any collection and use of any product listings, descriptions, or prices; any derivative use of the Services or their contents; any downloading or copying of account information for the benefit of another merchant; or any use of data mining, robots, or similar data gathering and extraction tools.
- Restrictions: You must not reproduce, duplicate, copy, sell, resell, visit, or otherwise exploit any portion of the Services for any commercial purpose without our express written consent. You must not frame or use framing techniques to enclose any Trademark, logo, or other proprietary information (including images, text, page layout, or form) of Medidex Inc. without our express written consent.
- Feedback and Submissions: If you provide us with any suggestions, comments, or other feedback regarding the Services (collectively, “Feedback”), you hereby grant us a perpetual, irrevocable, non-exclusive, royalty-free, fully-paid, worldwide, sublicensable, and transferable license to use, reproduce, modify, distribute, display, and perform the Feedback in any manner and for any purpose.
- Infringement Claims: If you believe that any content on the Services infringes your intellectual property rights, please contact us at info@themedidex.com with detailed information about the alleged infringement so that we can investigate and take appropriate action.
7. PRIVACY
In order to see what personal and non-personal information we collect and how we use or store or share the same, please refer to the detailed Privacy Policy statement available on our website and App.
8. MOBILE APP
The following terms apply when you use a mobile application obtained from either the Apple App Store or Google Play (each an “App Distributor”) to access our Services:

- License: The license granted to you for our mobile application is limited to a non-transferable license to use the application on a device that utilizes the Apple iOS or Android operating systems, as applicable, and in accordance with the usage rules set forth in the applicable App Distributor’s terms of service.
- Maintenance and Support: We are responsible for providing any maintenance and support services with respect to the mobile application, as specified in these Terms of Service or as otherwise required under applicable law. You acknowledge that each App Distributor has no obligation whatsoever to furnish any maintenance and support services with respect to the mobile application.
- Compliance with Law: You represent and warrant that (i) you are not located in a country that is subject to a U.S. government embargo, or that has been designated by the U.S. government as a “terrorist supporting” country; and (ii) you are not listed on any U.S. government list of prohibited or restricted parties.
- Third-Party Terms: You must comply with applicable third-party terms of agreement when using the mobile application. For example, if you have a VoIP application, then you must not be in violation of their wireless data service agreement when using the mobile application.
- User Conduct: You agree to use the mobile application in accordance with all applicable local, state, national, and international laws and regulations. You must not use the mobile application in any manner that could damage, disable, overburden, or impair the application or interfere with any other party’s use of the application.
- Updates and Upgrades: We may, from time to time, issue updates or upgrades to the mobile application. You agree that these Terms will apply to all such updates or upgrades unless such updates or upgrades are accompanied by separate terms, in which case those separate terms will apply.
- Data Privacy: By using the mobile application, you acknowledge that your data may be collected, used, and shared in accordance with our Privacy Policy. You agree that we may collect and use technical data and related information, including but not limited to technical information about your device, system and application software, and peripherals, to facilitate the provision of software updates, product support, and other services related to the mobile application.
9. SUBSCRIPTION

- Subscription Tiers: MedManage offers several subscription tiers, including free and paid ones. Each tier provides different levels of access to the features and services of the MedManage App. Details regarding the benefits and costs associated with each subscription tier are available within the App and on the MedManage website.
- Free Tier: The Free Tier offers users access to basic features of the App at no cost but may include advertisements.
- Premium Subscriptions: Paid subscriptions offer enhanced features. Prices and specific features available for each tier are detailed in the App and subject to change. The lifetime access is valid for as long as MedManage continues to provide its services. Should MedManage cease operations or discontinue the App, the lifetime subscription will no longer be valid, and no refunds or compensation will be provided.
- Payment and Renewal: Subscription fees are charged in advance on a monthly or annual basis, as per the user’s selection. Subscriptions will automatically renew at the end of each subscription period, unless the user cancels the subscription through their account settings before the end of the current subscription period.
- Price Changes: The Company reserves the right to adjust pricing for the subscriptions offered through the App at any time. Any price changes will take effect following email notice to you or announcement through the App.
10. LINKS TO THIRD-PARTY SITES
The Platform might contain links to third-party website/Apps or services. For example, the Platform works with third party payment service providers to provide you the most convenient payment options. Such third-party links are not under the control of Medidex, and Medidex is not responsible for any third-party links. Medidex provides access to these third-party links only as a convenience to you, and does not review, approve, monitor, endorse, warrant, or make any representations with respect to third-party links. You shall use all third-party links at your own risk, and should apply a suitable level of caution and discretion in doing so. Whenever you click on such links, you may be taken to such a third-party website/app, and you get out of the jurisdiction of our website/app. Therefore, you shall be governed by the legal policies of such third-party website/apps and we suggest that you read those policies. In case of any damage due to such action of third-party links or inaccuracy of content or wrong information, Medidex shall not be responsible.

By using MedManage, users acknowledge and agree to the following disclaimers:

- General Disclaimer: The Services provided by Medidex Inc., including our website (https://mymedicationlog.com), web portal (https://medidex.io), mobile app (MedManage), and any related services, are offered on an “as is” and “as available” basis. We make no representations or warranties of any kind, express or implied, as to the operation of our Services or the information, content, materials, or products included in our Services. You expressly agree that your use of our Services is at your sole risk.
- Health and Medical Disclaimer: The Services are intended to assist you with medication management, including creating medication lists, calendars, dose reminders, and logs of medication intake. However, our Services are not intended to provide medical advice, diagnosis, or treatment. Always seek the advice of a qualified healthcare provider with any questions you may have regarding a medical condition. Never disregard professional medical advice or delay in seeking it because of something you have read on our Services.
- No Warranty for Accuracy: We do not warrant that the information provided through our Services is accurate, complete, reliable, current, or error-free. While we strive to ensure that the information we provide is correct, we cannot guarantee its accuracy or completeness. You should verify any information obtained from our Services before relying on it.
- Service Availability: We do not guarantee that our Services will be uninterrupted, timely, secure, or error-free. There may be times when our Services are unavailable due to maintenance, upgrades, or technical issues. We are not responsible for any disruption or loss you may suffer as a result of any interruption or lack of availability of our Services.
- Third-Party Services: Our Services may include links to or integration with third-party services, such as social media platforms, payment processors, and email services. These third-party services are not under our control, and we are not responsible for their content, functionality, or availability. The inclusion of any third-party services does not imply endorsement by us. Your use of third-party services is at your own risk and subject to the terms and conditions of those third parties.
- No Warranty for Data Security: While we implement reasonable security measures to protect your data, we cannot guarantee that our Services will be free from unauthorized access, hacking, data loss, or other security breaches. You acknowledge that you provide your personal or health information at your own risk.
- Compliance with Laws: We make no warranty or representation that our Services will comply with the laws of any jurisdiction other than the United States. You are responsible for ensuring that your use of our Services complies with all applicable local laws and regulations.
- Changes to Services: We reserve the right to modify, suspend, or discontinue any part of our Services at any time without notice. We are not liable to you or any third party for any modification, suspension, or discontinuation of the Services.
12. LIMITATION OF LIABILITY

- General Limitation: To the fullest extent permitted by law, MEDIDEX INC. (“Company”), its directors, employees, partners, agents, suppliers, or affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, health issues, physical or mental harm, medical expense, loss of profits, data, use, goodwill, or other intangible losses, resulting from (i) your access to or use of or inability to access or use the MedManage App or services; (ii) any conduct or content of any third party on the MedManage Platform; (iii) any content obtained from the MedManage Platform; and (iv) unauthorized access, use, or alteration of your transmissions or content, whether based on warranty, contract, tort (including negligence), or any other legal theory, whether or not the Company has been informed of the possibility of such damage, and even if a remedy set forth herein is found to have failed of its essential purpose.
- Specific Limitation for Health-Related Issues: Our Services are designed to assist you with medication management but are not intended to replace professional medical advice, diagnosis, or treatment. You acknowledge and agree that Medidex Inc. is not responsible for any medical decisions made based on the use of our Services. Any reliance on the information provided by our Services is at your own risk.
- Applicable Law Exceptions: Certain jurisdictions do not allow the exclusion or limitation of certain damages, so some or all of the exclusions and limitations in this section may not apply to you if you are located in such jurisdictions. In such cases, Medidex’s liability will be limited to the greatest extent permitted by law.
13. LEGAL ACTION
If you are found to be degrading, tarnishing, maligning the image, goodwill, or reputation of Medidex, Inc. (“Company”) or MedManage (“Platform) by spreading hate, insulting, false, fake reviews or engaging in mala fide actions against the above, strong legal actions will be taken immediately.
14. INDEMNIFICATION
You acknowledge to defend, indemnify, and hold Medidex, Inc., its affiliates, subsidiaries, directors, officers, employees, agents, partners, and any other licensors (hereinafter referred to as “Indemnified Party”) harmless from and against any claim, disputes, fine, liability, demand, or expense, including reasonable legal counsel’s fee, made by a third party, relating to, or arising from:

- Your violation of ours or any third-party right;
- Your wrongful or improper use of our services, or platform;
- Your violation of any applicable laws, rules, or regulations;
- Your violation of these Terms or any other policy of ours as associated with our services;
- The indemnifications set forth above will survive the termination or expiration of these Terms and/or your use of our services.
15. ARBITRATION, CHOICE OF LAW, AND DISPUTE RESOLUTION

- Choice of Law: The Terms and any dispute arising from the same will be governed by applicable laws of the State of Delaware (USA), except for its conflict of law provisions.
- Exclusive Choice of Forum: All disputes must first be attempted to be resolved amicably, failing which, such controversy, conflict or dispute shall be finally settled by bringing it exclusively before the appropriate state or federal courts located in New Castle County, Delaware, except as may be otherwise provided by the Arbitration section provided below.
- Agreement to Binding Arbitration Between You and Medidex Inc.: By agreeing to these Terms, you agree that any claim you may have against Medidex Inc. must be resolved through binding arbitration on an individual basis, not as a class, collective, or representative action. This includes any claims related to these Terms, your use of the Services, or your relationship with Medidex Inc.
- Covered Disputes: Any dispute, claim, or controversy arising out of or relating to these Terms, your use of the Services, incidents resulting in personal injury or death, and your relationship with Medidex Inc. will be settled by binding arbitration, not in court. This agreement survives after your relationship with Medidex Inc. ends.
- Class Action Waiver: All disputes will be resolved in individual arbitration. You and Medidex Inc. waive the right to participate in class, collective, coordinated, or consolidated actions. The arbitrator has no authority to conduct such actions or award relief to anyone but the individual in arbitration.
- Mass Action Waiver: Disputes must be resolved in individual arbitration. Any mass arbitration, involving 5 or more similar demands within 180 days, is prohibited. Violations allow parties to opt out of arbitration.
- Delegation Clause: Only an arbitrator can resolve disputes about the enforceability or formation of this Arbitration section. Courts can only resolve disputes about the Class Action and Mass Action Waivers.
- Exceptions to Arbitration: This agreement does not require arbitration for individual claims in small claims court or claims for injunctive relief related to intellectual property rights.
- Process: Before demanding arbitration, parties must try to resolve disputes informally through a mutual discussion. If unresolved, arbitration can be initiated. The arbitration will be conducted in New Castle County, Delaware.
- Arbitrator’s Decision: The arbitrator will render a binding decision. The decision will apply only to the parties involved and cannot set a precedent for others.
- Fees: Your responsibility for arbitration fees will be as set forth in the arbitration provider’s rules.
- American Arbitration Association: The arbitration will be administered by American Arbitration Association (“AAA”) in accordance with AAA’s Arbitration Rules.
- Severability and Survival: If any part of this Arbitration Agreement is found unenforceable, the remaining parts will still apply. Claims that cannot be arbitrated will be litigated in court, but litigation will be stayed pending the outcome of individual claims in arbitration.
16. NOTICES
When you use the Platform or send emails to Medidex, you are communicating with us electronically. You consent to receive physically or electronically any communications related to your use of the Platform. Medidex will communicate with you by email or by posting notices on the Platform. You agree that all agreements, notices, disclosures, and other communications that are provided to you electronically satisfy any legal requirement that such communications be in writing. We may give notice by means of a general notice via electronic mail to your email address as available with us. If you want to give a notice to us, you can do so by dropping an electronic mail to info@themedidex.com.
17. MISCELLANEOUS

- Independent Legal Advice: It is your obligation to obtain independent legal advice at your own expense to ensure you understand the provisions of these Terms.
- Headings: The section headings are for convenience only and shall not control or affect the meaning or construction of any provision of these Terms.
- Breach: In case of any breach or threatened breach to the provisions of these Terms, we reserve the right to suspend your access to our platform or our Services, at our sole discretion. In such cases, you will not be entitled to any refund or compensation.
- Severability: If any provision of these Terms is held to be unenforceable or invalid, such provision will be changed and interpreted to accomplish the objectives of such provision to the greatest extent possible under applicable law and the remaining provisions of these Terms will continue in full force and effect.
- Waiver: Our failure to insist on or enforce strict performance of these Terms of Service shall not be construed as a waiver by us of any provision or any right that we have to enforce these Terms and nor shall any course of conduct between Company and you or any other party be deemed to modify any provision of these Terms.
- Survival: Notwithstanding any other provisions of these Terms of Service, or any general legal principles to the contrary, any provision of these Terms of Service that imposes or contemplates continuing obligations on either party shall survive the expiration or termination of these Terms of Service, for any reason whatsoever.
- No Third-Party Beneficiaries: Except as otherwise expressly provided in these Terms of Service, there shall be no third-party beneficiaries to these Terms of Service.
- No Assignment: Users may not assign these Terms of Service (or any rights, benefits, or obligations hereunder) by operation of law or otherwise without the prior written consent of MedManage, which may be withheld at MedManage’s sole discretion. Any attempted assignment that does not comply with these Terms of Service shall be null and void.
- Entire Agreement: The Terms and Privacy Policy, and any additional terms and conditions incorporated herein or referred to herein constitute the entire agreement between MedManage and you, relating to the subject matter hereof, and supersedes any prior understanding or agreements (whether oral or written) regarding the subject matter, and may not be amended or modified except in writing or by making such amendments or modifications available on our website/App.
- Force Majeure: MedManage and its third-party service providers will be excused from performance for any period during which, and to the extent that, such party or any subcontractor is prevented from performing any obligation or service, in whole or in part, as a result of causes beyond its reasonable control, and without its fault or negligence, including without limitation, acts of God, communication line failures, technical issues, bugs, errors, power failures and/or similar inabilities.
- Updates to these Terms: Please note, these Terms may be updated from time to time to reflect changes to our practices, market realities, or for other operational, legal, or regulatory reasons.
